Public Offer Agreement

for ordering, purchase and delivery of digital services

Introduction

This agreement is an official and public offer from the Seller to enter into a contract for the purchase and sale of digital Services presented on the website glubler.com. This agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, individual entrepreneur) without giving preference to one buyer over another.

By entering into this Agreement, the buyer fully accepts the terms and procedure for placing orders, paying for services, delivering services, refund policy, liability for unfair ordering, and all other terms of the agreement.

1. Definitions

1.1. "Public Offer" (hereinafter "Offer") — a public proposal from the Seller, addressed to an unlimited number of persons, to conclude an agreement with the Seller for the remote purchase and sale of Services under the terms contained in this Offer.

1.2. "Service" — the object of the agreement between the parties, which is selected by the Buyer on the Seller's website. Services include: Glubler PRO subscription plans, advertising placement services, and other digital services offered on the platform.

1.3. "Website" — the Seller's website at www.glubler.com, created for concluding agreements for the remote purchase and sale of Services based on the Buyer's familiarization with the Service description provided by the Seller via the Internet.

1.4. "Buyer" — a capable individual who has reached 18 years of age, receives information from the Seller, places orders for the purchase of Services presented on the Website, or a legal entity or individual entrepreneur.

1.5. "Seller" — Private Entrepreneur Skorin Sergii Oleksandrovych (Individual Tax Number: 3096502999), an individual who operates in accordance with the current legislation of Ukraine.

2. Subject of Agreement

2.1. The Seller undertakes to provide the Buyer with digital Services, and the Buyer undertakes to pay for and accept the Services under the terms of this Agreement.

2.2. The date of conclusion of the Offer Agreement (acceptance of the offer) and the moment of full and unconditional acceptance by the Buyer of the terms of the Agreement is the date when the Buyer fills out the order form on the Website, subject to the Buyer receiving confirmation of the order from the Seller in electronic form.

3. Ordering Services

3.1. The Buyer independently places an order on the Website through the subscription form, advertising order form, or by contacting via email or phone number indicated in the contacts section.

3.2. The Seller has the right to refuse to provide services to the Buyer if the information provided by the Buyer during ordering is incomplete or raises suspicion about its validity.

3.3. When placing an order on the Website, the Buyer undertakes to provide the following mandatory information necessary for the Seller to fulfill the order:

• Full name of the Buyer
• Contact email address
• Contact phone number (optional)
• Identification code for legal entities or individual entrepreneurs

3.4. The name, duration, and price of the selected Service are indicated on the order page on the Website.

3.5. The Buyer is responsible for the accuracy of the information provided when placing an Order.

3.6. By concluding the Agreement, i.e., accepting the terms of this offer by placing an Order, the Buyer confirms that they are fully familiar and agree with the terms of this offer, and they give permission to collect, process, and transfer personal data.

4. Price and Payment

4.1. Service prices are determined by the Seller independently and are indicated on the Website. All prices are indicated in Ukrainian hryvnia (UAH) including VAT where applicable.

4.2. Service prices may be changed by the Seller unilaterally depending on market conditions. However, the price of a Service that has been fully paid by the Buyer cannot be changed by the Seller unilaterally.

4.3. The Buyer's obligation to pay for the Service is considered fulfilled from the moment the funds are received by the Seller in their account.

4.4. Payments between the Seller and the Buyer are made through secure payment methods indicated on the Website, including:

• Payment cards (Visa, Mastercard, Google Pay, Apple Pay)
• Bank transfer to the Seller's account

5. Rights and Obligations

5.1. The Seller undertakes to:

• Provide the Buyer with Services in accordance with the terms of this Agreement and the Buyer's order.
• Not disclose any private information about the Buyer and not provide access to this information to third parties, except as provided by law and during the fulfillment of the Buyer's Order.

5.2. The Seller has the right to:

• Change the terms of this Agreement and prices for Services unilaterally by posting them on the Website. All changes take effect from the moment of their publication.
• Suspend or terminate the Buyer's access to Services in case of violation of the Agreement terms.

5.3. The Buyer undertakes to:

• Before concluding the Agreement, familiarize themselves with the content of the Agreement, terms and prices offered by the Seller on the Website.
• Provide all necessary data that uniquely identify them as a Buyer and are sufficient for the provision of Services.
• Use the Services in accordance with applicable laws and the Website's Terms of Service.

6. Refunds

6.1. The Buyer has the right to request a refund for Services that have not been used, within 14 (fourteen) calendar days from the date of payment, provided that the Service has not been activated or used.

6.2. Refunds are processed within 30 (thirty) calendar days from the moment of receiving the refund request, subject to compliance with the requirements specified in clause 6.1 of the Agreement and current legislation of Ukraine.

6.3. The cost of the Service is subject to refund by bank transfer to the Buyer's account.

6.4. For activated digital services (such as PRO subscriptions that have been used), refunds may be provided on a pro-rata basis for the unused portion of the subscription period, at the Seller's discretion.

7. Liability

7.1. The Seller is not liable for damage caused to the Buyer or third parties as a result of improper use of the Services purchased from the Seller.

7.2. The Seller is not liable for improper, untimely fulfillment of Orders and obligations in case the Buyer provides inaccurate or erroneous information.

7.3. The Seller and the Buyer are liable for the fulfillment of their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.

7.4. The Seller or the Buyer is released from liability for full or partial non-fulfillment of their obligations if non-fulfillment is a consequence of force majeure circumstances such as: war or military actions, earthquake, flood, fire, and other natural disasters that arose independently of the will of the Seller and/or Buyer after the conclusion of this Agreement.

8. Confidentiality and Personal Data Protection

8.1. By providing their personal data on the Website during registration or ordering, the Buyer gives the Seller their voluntary consent to process, use (including transfer) their personal data, as well as perform other actions provided for by the Law of Ukraine "On Personal Data Protection", without limiting the validity period of such consent.

8.2. The Seller undertakes not to disclose information received from the Buyer. Provision of information by the Seller to contractors and third parties acting under an agreement with the Seller, including for the fulfillment of obligations to the Buyer, as well as in cases where disclosure of such information is established by the requirements of current legislation of Ukraine, is not considered a violation.

8.3. The Buyer is responsible for keeping their personal data up to date. The Seller is not liable for poor quality fulfillment or non-fulfillment of their obligations due to the irrelevance of information about the Buyer or its non-compliance with reality.

9. Other Provisions

9.1. This Agreement is concluded on the territory of Ukraine and is valid in accordance with the current legislation of Ukraine.

9.2. All disputes arising between the Buyer and the Seller are resolved through negotiations. In case of failure to resolve the dispute through negotiations, the Buyer and/or the Seller have the right to apply for resolution of the dispute to the judicial authorities in accordance with the current legislation of Ukraine.

9.3. The Seller has the right to make changes to this Agreement unilaterally. In addition, changes to the Agreement may also be made by mutual agreement of the Parties in the manner prescribed by the current legislation of Ukraine.
